INTELLECTUAL PROPERTY LICENSE & USAGE AGREEMENT

This Intellectual Property License & Usage Agreement (the “Agreement”) is entered into by and between ShiningPandas LLC, a limited liability company organized and existing under the laws of the State of Maryland (“ShiningPandas,” “we,” “us,” or “Creator”), and any individual or entity (“User,” “you”) that accesses, purchases, receives, or uses any ShiningPandas products, artwork, or intellectual property. By purchasing, accessing, or using ShiningPandas products or content, you agree to be bound by this Agreement.
“Art” means any original artwork, illustrations, characters, designs, drawings, animations, digital files, visual assets, stories, names, likenesses, or other creative works created, owned, or licensed by ShiningPandas and released to the public.
“Brand” means the ShiningPandas™ brand, including its name, logos, characters, visual identity, themes, goodwill, and associated intellectual property.
“Creator” means ShiningPandas LLC, its affiliates, successors, and assigns.
“Products” means any physical or digital goods sold or distributed by ShiningPandas, including but not limited to plush toys, apparel, collectibles, prints, accessories, and media.
“Personal Use” means non-commercial use for personal enjoyment, display, or sharing that does not generate revenue.
“Commercial Use” means any use of the Art or Brand that generates or is intended to generate revenue, directly or indirectly.
This Agreement governs the ownership, licensing, and permitted use of ShiningPandas intellectual property.
All ShiningPandas Art and Brand elements are protected by copyright, trademark, and other applicable laws. No rights are granted except as expressly stated in this Agreement.
COMMUNITY SHARING & FAN PARTICIPATION
ShiningPandas encourages fans to share photos, videos, and creative expressions involving ShiningPandas Products and Art.
By voluntarily submitting or publicly posting content that features ShiningPandas Art and tagging or submitting it to us, you grant ShiningPandas a non-exclusive, worldwide, royalty-free license to repost, display, distribute, and promote such content for marketing and community purposes, unless you expressly opt out in writing.
Fan projects are welcome only within the limits of this Agreement.
4.1 Personal Use License
Subject to your continued compliance with this Agreement, ShiningPandas grants you a limited, worldwide, non-exclusive, revocable license to use purchased Products and publicly released Art for personal, non-commercial use only.
Permitted personal use includes:
Displaying Products
Sharing photos or videos online
Creating non-commercial fan art
You may not sell, license, or monetize the Art under this license.
4.2 Commercial Use License (Limited & Conditional)
Commercial use of ShiningPandas Art or Brand is not automatically granted.
ShiningPandas may, at its sole discretion, grant written approval for limited commercial use, which may include:
Small-scale merchandise
Content creation
Brand collaborations
Unless otherwise agreed in writing:
Commercial use is capped at $500,000 USD in gross revenue per twelve (12) month period
Exceeding this limit requires a separate written license agreement

4.3 Commercial Use Restrictions
Whether personal or commercial, you may not:
Depict the Art in a way that includes hate speech, violence, sexual content, illegal activity, or content involving minors in inappropriate contexts
Use the Art in a way that damages or misrepresents the Brand
Suggest ShiningPandas endorses or sponsors third-party products without written permission
Modify or distort the Art in a way that harms its integrity
Combine ShiningPandas Art with other brands or characters without approval
Register or attempt to register trademarks, domains, or social handles using ShiningPandas names or characters
All rights not expressly granted are reserved by ShiningPandas.
OWNERSHIP OF INTELLECTUAL PROPERTY
All Art, Brand assets, characters, designs, and related intellectual property are and remain the exclusive property of ShiningPandas LLC.
Purchase of a Product does not transfer ownership of intellectual property rights.
No license or ownership is granted by implication, estoppel, or otherwise.
WARRANTIES & INDEMNIFICATION
If you engage in approved commercial use, you represent and warrant that you:
Will comply with all applicable laws and regulations
Have authority to operate any related business
Will maintain appropriate insurance where required
You agree to indemnify, defend, and hold harmless ShiningPandas from any claims, damages, losses, liabilities, or expenses arising from your use or misuse of the Art or Brand.
All licenses granted under this Agreement:
Are revocable at ShiningPandas’ discretion
Automatically terminate upon breach
Terminate immediately upon unauthorized use
ShiningPandas reserves the right to pursue all available legal remedies.
MORAL RIGHTS & BRAND INTEGRITY
ShiningPandas retains all moral rights in the Art to the fullest extent permitted by law.
You may not alter, distort, or use the Art in any manner that harms the reputation, integrity, or goodwill of the Brand.
“ShiningPandas,” all related names, logos, characters, and branding elements are trademarks of ShiningPandas LLC.
Use of ShiningPandas trademarks is prohibited except:
To truthfully describe genuine ShiningPandas Products
For approved non-commercial references
ShiningPandas reserves the right to monitor and enforce its trademark rights worldwide.
COOPERATION & ENFORCEMENT
Users agree to cooperate in good faith in protecting ShiningPandas intellectual property.
ShiningPandas may seek injunctive or equitable relief in any jurisdiction to prevent unauthorized use or infringement.
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict-of-law principles.
Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Maryland, and the parties consent to personal jurisdiction and venue therein.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
